How to start an Illinois LLC.

A practical overview of the filing sequence and the decisions that should be made before submitting Articles of Organization.

1. Decide whether an LLC fits the business

An LLC can be useful, but selecting an entity type can involve legal and tax consequences. StateFormed does not choose the entity type for a customer. People who are uncertain should consult an attorney or tax professional.

2. Choose an available Illinois name

The name must comply with Illinois rules and be distinguishable on the state’s records. A public name search is useful, but final acceptance belongs to the Illinois Secretary of State.

3. Select a registered agent and office

The LLC must maintain a qualifying registered agent and Illinois registered office. A P.O. box alone is not sufficient.

4. Prepare the Articles of Organization

Gather the business address, management information, registered-agent information, purpose, organizer authorization, and requested effective date.

5. Submit the Illinois filing

Illinois currently charges $150 for standard domestic LLC Articles of Organization and offers a $250 total 24-hour service tier.

6. Obtain the EIN after formation

The IRS issues EINs free. The responsible party should be the actual controlling individual, not a filing-service nominee.

7. Complete internal and banking setup

Depending on the business, this may include an operating agreement, bank account, accounting system, licenses, tax registrations, insurance, payroll, and contracts.

8. Maintain the company

Keep the registered agent active, file the Illinois annual report, maintain accurate records, and update state or IRS information when required.
